I affirm that I am an independent contractor working on a per assignment, free-lance or commission basis and am not an employee of Indian River Media Group Inc. I also affirm that any action I undertake such as driving while engaged as an independent contractor are on my own behalf and not on the behalf of Indian River Media Group Inc. I understand that I will receive an IRS 1099 statement for tax purposes. *

I agree to indemnify and hold harmless Indian River Media Group Inc. of and from any and all claims, demands, actions, causes of action, losses, damages, lawsuits, including reasonable attorneys’ fees and court costs, but only to the extent caused by, related to, or arising out of the work performed through my work as an independent contractor. *

I understand that the product of my work (photos, stories, design, etc.) submitted to Indian River Media Group Inc. as an independent contractor becomes the property of Indian River Media Group Inc. I understand that all services provided by me under this Agreement shall be as work-for-hire under the Copyright Laws of the United States and all copyrightable subject matter created by me as a result of or arising out of this Agreement shall become the property of Indian River Media Group Inc. as a work-for-hire and are hereby assigned to Indian River Media Group Inc. Where for any reason copyrightable subject matter resulting or arising from the services are not deemed as work-for-hire, I hereby assign all copyrights therein to Indian River Media Group Inc. Upon request, I will take such steps as are reasonably necessary to enable Indian River Media Group Inc. to effectuate and record such assignment at Indian River Media Group Inc.’s cost and expense. Nothing in this Agreement shall be construed as granting a license or other right, express or implied, to me with respect to any intellectual property or proprietary right of Indian River Media Group Inc. *
